These Terms of Service (“Terms”) govern access to and use of the TenLease platform and related services provided by TenLease Inc., a Delaware corporation (“TenLease”, “we”, “us”). TenLease is a business-to-business software platform intended for use by companies and their authorized personnel.
1. Acceptance of Terms
By accessing or using the TenLease platform, executing an order form or customer agreement referencing these Terms, or paying a TenLease invoice, you agree to these Terms. If you do not agree, do not use the platform.
2. Authority to Bind a Business
You represent that you are authorized to enter into these Terms on behalf of the business you represent, and that the business is bound by these Terms. The platform is not offered for personal, family, or household purposes.
3. Account Eligibility, Authorized Users, and Security
- Accounts are available to businesses and their authorized personnel only.
- You are responsible for all activity occurring under your account and user credentials.
- You must keep credentials confidential and notify TenLease promptly of suspected unauthorized access.
- You are responsible for your authorized users' compliance with these Terms.
4. TenLease Services
TenLease provides software for retail leasing workflows, which may include tenant prospecting, outreach, lead management, conversation tracking, tour scheduling, lease document processing, and portfolio reporting. Features may change, and specific entitlements are defined in your order form or agreement.
5. AI-Powered Features and AI Limitations
The platform uses artificial intelligence, including large language models and automated voice and messaging technology. AI output may be inaccurate, incomplete, or unsuitable for a particular purpose. AI output is informational and does not constitute legal, financial, brokerage, tax, or investment advice.
You are responsible for reviewing AI output before relying on it for any material decision, communication, or transaction.
6. Customer Responsibilities and Acceptable Use
- Use the platform only for lawful business purposes.
- Comply with all applicable laws governing calling, messaging, email, marketing, privacy, and data protection.
- Determine whether a given contact may lawfully be contacted, obtain required consent, and honor opt-outs and do-not-call requests.
- Do not upload unlawful, infringing, or improperly obtained contact data.
- Do not attempt to interfere with, overload, probe, or circumvent platform security.
- Do not use the platform to harass, defraud, or deceive any person.
Additional obligations are described in the Communications / TCPA Policy and the Anti-Spam / CAN-SPAM Policy, which are incorporated into these Terms.
7. Customer Data and Accuracy of Uploaded Information
You retain ownership of data you submit to the platform. You grant TenLease a limited license to host, process, and transmit that data to provide and support the services, and to improve service reliability consistent with the Privacy Policy. You are responsible for the accuracy, legality, and quality of information you upload, including lease documents, property records, and contact lists.
8. Communications Functionality
Where the platform supports calls, SMS, or email, you are the sender and the party responsible for the content and legality of those communications. TenLease may impose usage controls, volume limits, suppression requirements, and content restrictions.
9. Intellectual Property and License
TenLease and its licensors own the platform, software, models, workflows, interfaces, documentation, and all related intellectual property. Subject to these Terms and payment of applicable fees, TenLease grants you a limited, non-exclusive, non-transferable, revocable right to access and use the platform for your internal business purposes during your subscription term.
You may not:
- copy, reproduce, or create derivative works of the platform;
- reverse engineer, decompile, or attempt to derive source code or models;
- resell, sublicense, rent, or provide the platform to third parties without written authorization;
- use the platform to build a competing product or service;
- remove or obscure proprietary notices.
10. Third-Party Services
The platform may integrate third-party services, including Stripe for payments, telephony and messaging providers, calendar providers, data sources, and AI model providers. Those services are governed by their own terms. TenLease is not responsible for third-party services or the accuracy of third-party data.
11. Service Availability
TenLease aims to provide reliable service but does not guarantee uninterrupted or error-free availability. Maintenance, updates, third-party outages, and factors outside our control may affect availability.
12. Fees, Payment, and Taxes
Fees are set out in your order form, agreement, or invoice and are typically billed through Stripe invoices. Fees are due as stated on the invoice. You are responsible for applicable taxes other than taxes on TenLease's net income. Except as required by law or expressly agreed by TenLease in writing, all fees are non-cancelable and non-refundable. See the Billing, Fulfillment, Cancellation & Refund Policy.
13. Suspension and Termination
TenLease may suspend or restrict access for non-payment, suspected unlawful or abusive use, security risk, or material breach. Either party may terminate as provided in the applicable agreement. On termination, your right to access the platform ends, and amounts already invoiced, earned, or incurred remain payable. Customer data may be deleted after the retention period described in the Privacy Policy.
14. Confidentiality and Privacy
Each party will protect the other's non-public information disclosed in connection with the services and use it only for purposes of the relationship. Personal information is handled as described in the Privacy Policy.
15. Disclaimers
The platform is provided “as is” and “as available.” To the maximum extent permitted by law, TenLease disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
TenLease does not guarantee:
- tenant interest or tenant qualification;
- property tours or executed leases;
- occupancy, revenue, NOI improvement, or property performance;
- specific response, contact, or conversion rates;
- the accuracy of every AI-generated output;
- the accuracy or completeness of every third-party data source.
16. Technology Platform; Not a Broker
TenLease is a technology platform. Unless separately agreed in writing and legally permitted, TenLease does not act as a licensed real estate broker, property manager, attorney, accountant, or investment adviser, and does not negotiate or execute leases on behalf of customers. The customer, broker, property manager, or owner remains responsible for leasing decisions, negotiations, and agreements.
17. Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, or lost data. TenLease's total aggregate liability arising out of or related to the services will not exceed the fees paid by you to TenLease in the twelve (12) months preceding the event giving rise to the claim.
18. Indemnification
You will defend, indemnify, and hold harmless TenLease and its personnel from third-party claims arising from your data, your communications, your use of the platform, or your violation of law or these Terms.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. The parties will first attempt in good faith to resolve any dispute arising out of or relating to these Terms or the Services. Unless otherwise provided in a separate written agreement between TenLease and the customer, any legal action or proceeding arising out of or relating to these Terms or the Services will be brought in the state or federal courts located in Delaware, and each party consents to the personal jurisdiction of those courts.
20. Changes to Terms and Electronic Communications
TenLease may update these Terms; material changes will be communicated through the platform or by email, and continued use constitutes acceptance. You consent to receive notices electronically.
